Mission Statement

Dolphin Rugby Football Club (DRFC) is committed to making Rugby Football accessible and open to everyone who wishes to be involved in the game. We, as a Club, recognise the importance of, and are committed to equity, diversity, equal opportunities, fair treatment and respect to all involved and employed in our Club.

We shall achieve this by upholding the principals of equal opportunity in every aspect of the work we do. We support the development and implementation of practices that do not discriminate.

The Management Committee of DRFC fully supports this policy and is responsible for its implementation and periodic review. Everyone involved in sport has a personal responsibility to meets its requirements.

 Scope of the policy

DRFC recognises its responsibilities in respect of ensuring that its policies and procedures benefit not only its members but also the local community and will ensure that it engages with local partners and organisations.

The Management Committee is responsible for the implementation and effectiveness of the Policy, but the success of the Policy depends on the commitment of all the members and employees.

The Management Committee is also responsible for establishing equality indicators and for devising and implementing positive action plans where appropriate.

The purpose of this Policy is to set out our commitment to and further the work with regard to equality, diversity and inclusion. It also outlines our targets, setting out the mechanism for implementing, monitoring, and co-ordinating progress towards the achievement of our policy objectives.

 Policy Statement

(a)    DRFC is committed to operating in accordance and within the Employment Equality Act 1998 and the Equal Status Act 2000.

(b)   It is the aim of DRFC, through relationships with its members, visitors, employees, and associates that everyone will be treated fairly, with respect and on an equal and non–discriminatory basis. We endeavour not to place any individual at a disadvantage by imposing conditions or requirements which cannot be justified.

(c)     DRFC acknowledge their responsibility for setting standards and values which will apply throughout the Club and at every level of activity.

(d)    We will ensure that all participants involved in all aspects of Rugby Football or other pastimes or social activity will be given equal opportunity irrespective of age, gender, marital status, sexual orientation, race, ethnic origin, religion or belief, ability or disability.

(e)    DRFC is committed to eliminating discrimination by reason of age, gender, marital status, sexual orientation, race, ethnic origin, religion or belief, ability or disability.

(f)     DRFC will ensure that all members of the community have access to and have the opportunity to take part in, and enjoy, our programme of activities, competitions and events.

(g)    DRFC will not tolerate harassment, bullying, abuse or victimisation of any individual, including sexual or racially based harassment or other discriminatory behaviour, whether verbal or physical and will work to ensure such behaviour is met with appropriate action in whatever context it may occur.

(h)   The Management Committee is committed to the immediate investigation of any complaints of discrimination on the above grounds once they are brought to its attention – see Complaints Procedure below.

(i)      We will apply the principles of equal opportunity to all areas of our activity namely; Recruitment and Training of Staff, Coaches and Officials, whether employed or volunteers.

The Management and Committees of DRFC believe that equality of equal opportunity and diversity is vital to its success and an essential pre-requisite to the achievement of its goals, in the delivery of the best possible facility that is accessible, appropriate and responsive to meeting the diverse needs of individuals and the local community.

Complaints Procedure

In the event that any Member, employee or visitor to the Club feels that he/she has suffered discrimination or harassment in any way or that the policies, rules or Code of Conduct have been broken they should follow the procedures below.

1.     The complainant should report the matter in writing to the Honorary Secretary or another member of the Management Committee of DRFC. The report should include:

(a)    Details of what is alleged to have occurred

(b)   Details of when and where the alleged occurrence took place

(c)    Any witness details and copies of witness statements (if any)

(d)   Names of any others who may have been treated in a similar way (provided that those people consent to their names being disclosed)

(e)   Details of any previous complaint(s) made about the alleged incident, including the date and to whom such complaint was made

and

(f)     An indication as to the desired outcome

2.     If the person accused of discriminatory behaviour is an employee, the Management Committee will regard the incident as a disciplinary issue and will follow Disciplinary Procedures set out for employees or (if none exists) the statutory procedure.

3.      If the person accused of discriminatory behaviour is a non–employee, the Management Committee or representatives of the Management Committee will:

(a)    Request that both parties to the complaint submit written evidence regarding the alleged incident

(b)   May decide (at its discretion ) to uphold or dismiss the complaint without holding a hearing

(c)     May (at its discretion) hold a hearing (whether or not such a hearing is requested by either party ) at which both parties will be entitled to attend and present their case

(d)   Will have the power to impose any one or more of the following sanctions on any person found to be in breach of any policy, (including the equality Policy):

I)    A written warning as to future conduct

Ii)   Suspension from membership

Iii)  Removal from membership

iv)  Exclude a non–member from the club premises either temporarily or permanently

vi)  Turn down a non–member’s current and/or future membership application

vii)  Will provide both parties with written reasons for the decision made

If the nature of the complaint is with regard to the Management Committee or other body or group within DRFC, the Member/visitor has the right to report the discrimination or harassment directly to the Honorary Secretary of the Irish Rugby Football Union.

 Terminologies and Descriptions

·         Direct Discrimination occurs when a person is treated less favourably than another person because of a protected characteristic. Direct discrimination also includes discrimination because a person is wrongly thought to have a particular protected characteristic or is treated as if they do.

·         Indirect Discrimination occurs where the effect of certain requirements, provisions or practises imposed by an organisation has an adverse impact disproportionately on one group or other. Indirect discrimination generally occurs when a rule or condition, which applied equally to everyone, can be met by a considerably smaller proportion of people from a particular group, the rule is to their advantage and it cannot be justified on other grounds.

·         Discrimination arising from Disability occurs when a disabled person is treated unfavourably because of something connected with their disability and this unfavourable treatment cannot be justified. Treatment can be justified if it can be shown that it is intended to meet a legitimate objective in a fair, balanced and reasonable way. If this can be shown then the treatment can be lawful. This form of discrimination can occur only if the Club (or Person from the club) knows or can reasonably be expected to know that the disabled person is disabled.

·         Harassment can be described as inappropriate actions, behaviour, comments or physical contact, which may cause offence i.e. mental or physical anxiety or hurt to an individual. It may be related to gender, Gender reassignment, and race, Disability, sexuality, age, religion, nationality or any personal characteristic as an individual.

·         Dignity is about respectful, responsible, fair and humane behaviour, something that is reflected in the constitution.

·         Prejudice is literally pre- judging someone. It is usually led by negative, irrational feelings, resulting from preconceived attitudes and opinions.

·         Social exclusion is when people or areas suffer from one or a combination of linked problems such as unemployment, poor skills, low income, high crime environment or lack of Facilities.

Code of Conduct

Code for Players

– Play for enjoyment and become part of the rugby family.

– Respect the “Game of Rugby” and play within the laws of the Game.

– Accept the referee’s decision and let your captain or coach ask any relevant questions.

– Play with control. Do not lose your temper.

– Always do your best and be committed to the game, your team and your club.

– Be a “good sport”. Applaud all good play whether by your team or the opposition.

– Respect your opponent. Treat all players as you would like to be treated. Do not “bully” or take advantage of any player.

– Rugby is a team sport and make sure you co-operate with your coach; team mates and members of your club.

– Remember that the goals of the game are to have fun, improve your skills and feel good.

– At the end of the match thank your opponents and the referee for the match.

– Always remember that you owe a duty of care to your opponents. Tackle hard but fairly, do not intend to hurt your opponent.

– Winning and losing is part of sport: Win with humility – lose with dignity.

– As part of the team it is important that you attend training regularly and listen to your coach and help your team.

– As a team sport it is important to understand that all members are important to the team!

– Remember you are representing your team, club, family and the Game of Rugby.

Code for Parents

– Remember, young people play rugby for their enjoyment, not only yours.

– Encourage your child always to play by the Laws of the Game.

– Teach young children that honest endeavour is as important as winning, so that the result of each game is accepted without disappointment.

– Help young people to work towards skill improvement and good sportsmanship.

– Set a good example by applauding good play on both sides.

– Never ridicule, humiliate or shout at young players for making a mistake or losing a match.

– Do not place emphasis on winning at all costs.

– Do not force an unwilling child to participate in the playing of rugby. If the child is to play, he/she will do so in good time through your encouragement.

– Support all efforts to remove verbal and physical abuse from rugby.

– As a spectator do not use profane language or harass referees, coaches or players.

– Do not publicly question the referees’ judgement and never their honesty.

– Recognise the value and importance of volunteer referees and coaches.

– Identify and acknowledge the good qualities of the Game of Rugby and uphold these values.

– Remember you and your child’s contribution to the Game of Rugby is very important to the IRFU and be proud of your contribution.

– Understand the value of team sport and the importance there of.

Code for Coaches

– Remember that as a coach of an “age grade team” you are to act in “loco parentis” and to that extent your duty of care is more onerous than that of a coach to an adult team.

– Lead by example – young people need a coach whom they respect.

– Be generous with your praise when it is deserved. Never ridicule or shout at players for making mistakes or losing a match.

– Teach your players that the Laws of the Game are mutual agreements which no one should evade or break.

– Prepare young players for inter-class and inter-school activities.

– Be reasonable in your demands on the players’ time, energy and enthusiasm.

– Ensure that all players participate in matches. The “average” players require and deserve equal time.

– Remember that young players play for fun and enjoyment and that skill learning and playing for fun have priority over highly structured competition. Winning is not the only objective.

-Develop player and team respect for the ability of opponents, as well as for the judgement of referees and opposing coaches.

– Insist on fair play and disciplined play. Do not tolerate foul play, fighting or foul language. Be prepared to take off an offending player.

– Encourage young players to develop basic skills and sportsmanship. Avoid over specialisation in positional play during their formative years.

– Set realistic goals for the team and individual players and do not push young players into adult-like competitions.

– Create a safe and enjoyable environment in which to train and play.

– Do not over burden younger players with too much information.

– Make a personal commitment to keep yourself informed on sound coaching principles and methods, and on the principles of growth and development of young people.

– Be aware of the effect you have on growing children.

– Never criticise the referee and touch judges during or after a match in front of players or spectators.

– Always thank the match officials and if they have made decisions which require clarification, discuss the problems after everyone has changed.

– Seek and follow the advice of a doctor in determining when an injured player is ready to play again.

– Ensure that proper equipment and facilities are available at all times.

– Be responsible and ensure you uphold the ethos of the game and the IRFU.

– Attend coaching courses.

– Support the Code of Ethics and all policies regarding Children in Sport.

– Ensure you and your players are proud of your team, club and efforts during the season.

Code for Spectators

– Remember that although young people play organised rugby they are not “miniature internationals”.

– Be on your best behaviour and lead by example. Do not use profane language or harass referees, players or coaches.

– Applaud good play.

Dolphin Rugby Football Club

 

  1. Names and Objectives

 

1.1. The name of the Club shall be the “Dolphin Rugby Football Club”.

1.2. The acronym “DRFC” and term “Club” subsequently used in this

Constitution shall refer to Dolphin Rugby Football Club.

1.3. The objects of the Club are

 

(a) To play, promote, develop and provide facilities for the playing and pursuit of the game of Rugby football in all its forms and social activities.

(b) To provide a safe and healthy environment for all members and most especially underage members.

(c) To foster and cultivate the spirit of rugby football, sportsmanship and

comradeship amongst its member’s.

(d) To do all such lawful acts or things as are incidental or conducive to the attainment of any of the objects or purposes specified in the foregoing provisions of this article; and

(e) To engage in such other activities, whether of a like nature or not, as may for the time being be permitted by law and determined by the General Purposes Committee (GPC).

(f) To provide a social facility for the local community through use of the clubhouse amenities.

 

  1. Affiliations

 

  1. The Club shall be bound by the laws, bye-laws and regulations, as may amended from time to time, of the body to which it is currently affiliated including, without limitation, the laws of the game as laid down by the International Rugby Board.

 

  1. Colours of the Club

The Club’s home colours shall be predominantly Navy Blue, Yellow and White.

 

  1. Trustees

4.1. All assets and property of the Club shall be vested in the Trustees and held by them for the sole use and benefit of the Club.

4.2. The Trustees shall be known as “The Trustees of Dolphin Rugby Football Club”.

4.3. At any time The Trustees shall not be less than Three and not more than Five in number.

4.4. The Trustees may meet as and when necessary but in any event shall meet collectively once per year with the Club Treasurer to review the Club assets and trust funds.

4.5. The Trustees shall be elected by two thirds of the members present and voting at a GPC meeting. A Trustee shall hold office for a period of three years or until he or she resigns, or is absent from Ireland for one year, or ceases to be a member of the Club during such a period of office, or for such other reason be removed from office by a Resolution passed at a GPC meeting of the Club, whichever is least.

4.6. No Trustee shall be liable for any loss or diminution in the value of the property of the Club unless that person dishonestly participated in a wrongful act which was a contributory cause of such loss or diminution.

4.7. The Club shall not incur, contract for, or undertake any single expenditure exceeding €20,000 without the consent in writing of the Trustees of the Club. The Club and/or the Trustees are authorised and empowered to borrow from time to time such sums of money to an extent not exceeding such amount, and upon such terms and conditions as may be authorised from time to time by a resolution of the General Purpose Committee of the Club.

 

  1. Membership

5.1. In this Constitution the term “Member” shall unless the contrary is stated, include an Ordinary Member, Pavilion Member or an Honorary Life Member.

5.2. Member of the Club shall be for a period of one year, renewable annually (except in the case of the Hon. Life Members) on the first day of September with membership categories as set below.

5.3. Acceptance of Membership of the Club implies acceptance of this Constitution and any standing Rules of the Club that may be passed by the GPC from time to time.

5.4. Pursuant to the provisions of Section 34 (1) (b) of the Civil Liability Act 1961, Members waive their legal entitlement to claim against a fellow Member, Officer, the Club itself or members of the GPC, compensation for personal injury, loss or damage, however caused.

5.5  Ordinary Members:

(a) Upon approval by the GPC of such application and upon payment of the annual subscription fee, such person shall be deemed to be an Ordinary Member.

(b) Those whose membership is current upon the introduction and adoption of this Constitution shall continue to be eligible to continue as members, as appropriate, upon payment of their annual subscriptions each year.

(c) The General Purpose Committee may, at its sole discretion, provide for several layers of Membership subject to the aforementioned entry requirements in order to facilitate different cost categories for the betterment of the Club; however no category of membership may be created to allow any individual more or less than one voting right.

 

  1. Honorary Life Members:

(a) Any Ordinary Member, Associate Member or person associated with the Club who has, in the opinion of the Members at any General Meeting, rendered exceptional service to the Club, or whose distinguished or influential position or public service would render their membership an asset to the Club, shall be eligible to become an Honorary Life Member provided that:

(b) The proposed election has been recommended by the GPC and a two thirds majority vote of those present and voting at such GPC shall be required to elect an Honorary Life Member.

(c) Upon the death or resignation of an Honorary Life Member the vacancy shall not be filled without the approval and recommendation of the GPC.

 

  1. Conduct of Members

7.1. Any member may be the subject of disciplinary proceedings in the event of an alleged breach of the Rules of the Club, or alleged misconduct likely to bring the Club into disrepute or likely to be injurious to the interests of the Club. Such misconduct, if proven in accordance with the Club Disciplinary proceedings, may lead to sanctions being imposed, including suspension and expulsion from membership. The procedure for the conduct of disciplinary proceedings shall be set out in a Protocol which shall be adopted by the GPC and published and made available to all members. It shall be updated from time to time as required.

 

  1. Rights of Members

8.1.  In addition to enjoying all the benefits and amenities which the Club shall offer, all paid up Members, over the age of 18, shall be entitled to cast one vote on any motion at an Annual General meeting of the Club. For the avoidance of doubt, no person shall be entitled to sit on any committee of the club, nor hold any position as an officer of the club, nor cast a vote at any meeting of the club, unless the person is a current fully paid up member of the club.

 

  1. Subscriptions

Annual Subscriptions shall be fixed by the GPC and shall be payable no later than the first day of November each year or immediately on approval of membership by the GPC, whichever is the later. The GPC shall also determine the subscriptions of all categories of membership.

 

  1. Officers of the Club / General Purpose Committee

10.1. The Officers of the Club listed below at Rule 10.4(a) – (r) shall be elected annually at the Annual General Meeting to be held in May of each year. Nominations for these offices shall be submitted to the Chairperson of the GPC at least seven days before the holding of the A G M and only such nominations shall be considered by the GPC. The Officers of the Club as set out hereunder shall comprise the membership of the General Purpose Committee. This Committee shall be the primary decision-making body of the Club.

10.2. Such persons elected as Officers of the Club at the AGM shall hold office (subject to retirement and continuing membership of the Club) until the next following AGM.

10.3. No Officer of the Club shall be liable for any loss or diminution in the value of the property of the Club unless that person dishonestly participated in a wrongful act which was a contributory cause of such loss or diminution.

 

10.4. The Officers of the Club and who are in representative roles on behalf of the Club shall be made up of the following:

 

(a) The President – who is the Chairperson of the General Purpose Committee/ Club

(b) The Honorary Secretary

(c) The Senior Vice President

(d) The Chairperson of the Management Committee (sub-committee appointed by the GPC)

for the purpose of the day to day running of the Club.

(e) The Honorary Treasurer

(each an “Officer” together the “Officer’s”)

 

The following in addition to a – e above, shall make up the body of the General Purpose Committee and be entitled to attend GPC meetings or be required to do so from time to time:

 

(f) The Captains of the Club, who shall be the Captain of the Men’s & Women’s 1st XV.

(g) The Honorary Youth’s Chairperson

(h) The Honorary Mini’s Chairperson

(i) The Honorary Junior Treasurer

(j) The Honorary Senior Fixtures Secretary

(k)  The Honorary Junior Fixtures Secretary

(l) The Club Representative to the Munster Branch

(m) All Past President’s

(n) The Chairperson of Rugby committee

(o) Director of Rugby

(p) The Chairperson of the Grounds committee

(q) The Chairperson of the House committee

(r) All Club Honorary Vice Presidents.

(s) Junior Vice President

(t) The Honorary Girl’s Chairperson

(u) The Honorary Women’s Chairperson

 

10.5. If for any reason any new Officer of the Club, is not elected at an AGM held in accordance with this Constitution, the existing Officer of the Club shall continue to hold such office until a successor has been duly elected at a General Purpose Committee Meeting of the Club, or until they notify the GPC of their intention to resign, or the GPC decide to hold the position vacant.

10.6. The election of four members to the GPC will take place at the AGM and the GPC will have the power to co-op a further number of members at GPC meetings during the year.  The members of the GPC shall remain a member of the committee until the following AGM.

 

  1. The Club Chairperson

11.1. For the purposes of this document, the Club Chairperson of the General Purpose Committee (the governing body of the club)  is the then Club President.

11.2.  The Sub Committee known as the ‘Management Committee’ of the Club is Chaired by the person appointed as the Chairperson of the then Management Committee.

11.3. The Club Chairperson (current President) shall be nominated and elected at the AGM.

11.4. The Duties of the Club Chairperson (current President) shall be

(a) To chair the GPC meetings of the club and determine the agenda.

(b) To oversee all aspects of the Club to ensure the application of the DRFC Constitution.

(c) Ensure the Club’s ethos and goals as determined by the GPC.

11.5. The GPC may also appoint a deputy President/ Chairperson in order to support the President/Chairperson in his role.

11.6. The President and Sen.Vice President may set up subcommittees from time to time to support their various responsibilities. All subcommittees shall keep minutes of their meetings which shall be available to the GPC as required.

 

  1. The Management Committee

12.1. The Management Committee is a sub-committee of the Club, appointed by the GPC. It is charged with the responsibility for the coordination and management of the day to day running of the club, including Rugby activities, financial affairs and operation of the club. It is authorised to so do by the GPC and the members who sit on the Management Committee are approved by the GPC,  (they may already hold a position as an officer of the Club) dealing with the daily, monthly and annual planning for the club, all of which is reported at the GPC for approval. The Management Committee shall ensure that the aims and objectives of the Club are maintained and achieved.

12.2. The Sub Committee – Management Committee is made up of the following positions:

The Trustees

The President – Club Chairperson

The Chairperson of the Management Committee

The Hon. Secretary of the Club

The Hon. Treasurer of the Club

The Munster Branch Representative

The Director of Rugby

The Clubhouse Chairperson

The Grounds Chairperson

The Membership Secretary

The Shop Secretary

The Fundraising Manager (this could be made up of one or more persons)

The Match Gate Manager

Any other person deemed vital to the day to day running of the club at the time, dealing with special matters or events and proposed by the Chairperson of the Management Committee and approved by the GPC.

 

12.3. Should any of the GPC posts become vacant at any time, the sitting GPC shall be empowered to fill that vacancy and the duly appointed GPC member shall continue in office until the next AGM.

12.4. The GPC shall be empowered to create sub-committees as and when required, without derogating from its primary responsibility, the GPC may delegate any of its functions to a sub-committee as it sees fit.

12.5. Without prejudice to the foregoing, the GPC shall have the following non-exhaustive powers and duties:

(a) Arrange Fixtures.

(b) Control the Club finances and dispose of Club property and, when so requested by a GPC meeting to so do, to adopt as final accounts, the Annual Accounts being presented by the Hon. Treasurer and ratified at the AGM.

(c) Fill any casual vacancy occurring in the GPC or in any other office of the Club in accordance with Rule 12.2.

(d) From time to time make, repeal and amend such bye-laws and regulations (not inconsistent with this Constitution or with the decisions of any Annual General Meeting) as they shall think expedient for the internal management and well being of the club and

(e) Do all things necessary for the proper management of the Club in so far as they are not provided for in this Constitution.

 

  1. Meetings of the General Purpose Committee

 

13.1. The GPC shall meet no less than 6 times during the calendar year at such times as notified by the Honorary Secretary. Minutes of each meeting shall be kept by the Hon. Secretary and be read at the next meeting. The quorum for a GPC meeting shall be seven.

13.2. Save where otherwise provided for in this Constitution, resolutions of the GPC shall be passed by a majority of the GPC members present and voting. The Club President/Chairperson shall, in the event of a tie, have the casting vote.

 

  1. General Meetings

 

14.1. A General Meeting shall mean either the Annual General Meeting or any Extraordinary General Meeting.

14.2. At all General Meetings of the Club, the President, or his/her nominee shall act as Chairperson and in the absence of the President or his nominee, a Chairperson may be appointed by those present and entitled to vote.

14.3. Subject to the provisions of Rule 8.1. every Member over 18 years of age,  present at a General Meeting, (GPC) whose subscription is not in arrears, shall be entitled to one vote on every motion. The voting at every General Meeting shall be by ballot (or at the Chair’s discretion, by show of hands) and in the case of an equality of votes, the Chairperson of that General Meeting shall have a second or casting vote.

(a) The quorum for a General Meeting shall be fifteen members entitled to vote. If at a General Meeting a quorum has not assembled within 30 minutes after the time appointed for such General Meeting, the Honorary Secretary may, at his/her sole discretion, declare such meeting abandoned.

(b) A General Meeting may delegate to the GPC,  it’s power to appoint any officer of the Club.

(c) The Annual General Meeting shall be held in May and a further GPC shall be held in September to ratify the accounts of the Club.

(d) Except as this Constitution provides otherwise, motions at a GPC shall be passed by a simple majority.

 

14.4. Annual General Meeting.

 

(a) The Annual General Meeting of the Club shall be held in May each year, on such day and at such place as the GPC shall determine. The business to be transacted at the Annual General Meeting shall be:

 

(I) The approval of the minutes of the previous Annual General Meeting.

(ii) The Election of the Officers of the Club listed in Rule 10.4.

(iii) To receive from the Honorary Secretary a report on the affairs of the Club for the preceding season.

(iv) To receive from the Honorary Treasurer a report on the financial affairs of the club and to pass any resolution that may be necessary in relation to the accounts as required by the IRFU.

(v) To decide on any resolution which may be duly submitted in the manner provided in the Constitution, or any other business which the President/Chairperson of the AGM in his/her sole discretion may allow to be raised.

(vi) The election of Honorary Life Members, if any.

(vii) Fourteen days’ notice of each AGM shall be given by the Honorary Secretary.

(b) Save as provided in Rule 14.4(a) any motion or resolution may be moved at an AGM by a Member who has given seven days’ notice in writing to the Honorary Secretary. It is also provided that a motion or resolution may be moved without notice if fifteen Members present signify to the Chairperson of the Meeting, their willingness to allow the question to be discussed.

(d) Nominations for Officers and Honorary Life Members, if any, shall be given to the Honorary Secretary no less than seven days before any General Meeting.

14.5. Extraordinary General Meetings

(a) An Extraordinary General Meeting of the Club shall be called by the Honorary Secretary, on one week’s notice, on the direction of the GPC, or on a written requisition signed by fifteen members of the Club stating the subject(s) proposed to be discussed. The business at such Meeting shall be confined to the subject(s) mentioned in the direction from the GPC or in the requisition signed by fifteen Members of the Club, as the case may be.

15. Notification of Meetings

15.1. Every Member of the Club shall from time to time communicate to the Honorary Secretary his address and all notices posted to a Member to his/her last known address shall be considered as having been duly given on the day following the date of posting.

15.2. In the case of Ordinary Members, the Honorary Secretary shall give notice of the hour, date and place of any General Meeting by putting a notice of such meeting and of the business to be transacted prominently on the Rugby Club Website.

  1. Amendment of the Constitution

16.1. This Constitution may be added to, repealed or amended by resolution at the Annual, or an Extraordinary General Meeting, provided that no such resolution shall be deemed to have been passed unless it is carried by a majority of at least two-thirds of the members present and voting thereon and no such resolution shall be proposed except by or on behalf of the GPC. Members of the Club with voting rights can suggest changes to this constitution, such suggestions shall be submitted in writing to the Hon. Secretary for consideration by the GPC.

16.2. The Constitution shall be binding on the Members and Officers of the Club.

17. Club Assets and Finances
17.1 Income and Property
The income and property of the Club shall be applied solely towards the promotion of the object as set forth in this Constitution. No portion of the Club’s income and property shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise howsoever by way of profit to members of the Club.
No officer shall be appointed to any office of the Club paid by salary or fees or receive any remuneration or other benefit in money or money’s worth from the Club.
However, nothing shall prevent any payment in good faith by the Club of:
a) reasonable and proper remuneration to any member or servant of the Club (not being an officer) for any services rendered to the Club;
b) interest at a rate not exceeding 1% above the Euro Interbank Offered Rate (Euribor) per annum on money lent by an officer or other members of the Club to the Club;
c) reasonable and proper rent for premises demised and let by any member of the Club (including any officer) to the Club;
d) reasonable and proper out-of-pocket expenses incurred by any officer in connection with their attendance to any matter affecting the Club;
e) fees, remuneration or other benefit in money or money’s worth to any Company of which an officer may be a member holding not more than one hundredth part of the issued capital of such Company.
17.2 Winding Up
If upon the winding up or dissolution of the Club there remains, after satisfaction of all debts and liabilities, any property whatsoever, it shall not be paid to or distributed among the members of the Club. Instead, such property shall be given or transferred to some other institution or institutions having objects similar to the objects of the Club.
The institution or institutions to which the property is to be given or transferred shall prohibit the distribution of their income and property among their members to an extent at least as great as is imposed on the Club under or by virtue of the Income and Property clause hereof. Members of the Club shall select the relevant institution or institutions at or before the time of dissolution, and if and so far as effect cannot be given to such provisions, then the property shall be given or transferred to some charitable object. Final accounts will be prepared and submitted that will
include a section that identifies and values any assets transferred along with the details of the recipients and the terms of the transfer.
17.3 Keeping of Accounts
Annual Accounts shall be kept and made available to the Revenue Commissioners on request. Where the gross annual income exceeds €250,000 the accounts will be audited.

17.4       Intoxication Liquor Licensing Acts 1902 to 2008 (as amended)

The rules applicable to the supply of excisable liquor are as set out in Appendix 1 hereto.

  1. Data Protection

Pursuant to the provisions of the Data Protection Act 1988-2010, members consent to the Club obtaining, recording, holding and retaining their personal data (including sensitive personal data) solely for Club purposes, either on its compute or in its manual filing system, and consent to use of all such data, including its disclosure to third parties, for the proper and effective management of the Club.

19 Interpretation of the Constitution

19.1 The foregoing Constitution shall be the fundamental Rules of the Club and shall not be altered except in accordance with Rule 16. The General Purpose Committee are the sole authority for the interpretation of this Constitution and the decision of the General Purpose Committee upon any questions of interpretation of this Constitution and the decision of the General Purpose Committee upon any questions of interpretation or upon any matter affecting the Club and not provided for by this Constitution shall be final and binding on the Members.
Where two conflicting interpretations of this Constitution may be found, every effort should be made to choose the interpretation which best aligns with the ethos and traditions of DFRC.
20. Commencement 
This Constitution shall take effect from the 25th day of  May 2023 and take the place of all previous Rules of the Club, which are hereby rescinded.
21. Additions, alterations and amendments

No addition, alteration or amendment shall be made to the provisions of the objects clause, the income and property clause, the winding up clause, the keeping of accounts clause or this clause of the Constitution for the time being in force unless the same shall have been previously approved in writing by the Revenue Commissioners.

APPENDIX 1

(Intoxication Liquor Licensing Acts 1902 to 2008 (as amended)

 

SALE OF LIQUOR

 

(1)  A VISITOR SHALL NOT BE SUPPLIED WITH EXCISABLE LIQUOR IN THE CLUB PREMISES UNLESS ON THE INVITATION OF A MEMBER AND IN THE COMPANY OF A MEMBER, AND THE MEMBER SHALL UPON THE ADMISSION OF SUCH A VISITOR TO THE CLUB PREMISES, OR IMMEDIATELY UPON THE HIS BEING SUPPLIED WITH SUCH LIQUOR ENTER HIS OWN NAME AND THE NAME AND ADDRESS OF THE VISITOR TO THE CLUB PREMISESIN A BOOKWHICH SHALL BE KEPT FOR THE PURPOSE AND WHICH SHALL SHOW THE DATE OF EACH VISIT.

 

(2)    No excisable liquor shall be sold for consumption on the Club premises to any person (other than a member of the club lodging in the club premises) or be consumed on the premises by any person (other than such a member) outside of the times specified for the time being in the rules of the Club.

 

(a) St. Patrick’s Day: between 12.30 p.m. and 12.30 a.m. on the following day.

 

(b) The 23rd December: if it falls on a Sunday between 10.30 a.m. and 11.30 p.m.

 

(c) Christmas Eve and the Eve of Good Friday between 10.30 a.m. and 11.30 p.m.

 

(d) The Eve of any public holiday (other than Christmas Eve).

 

(e) If the Eve falls on a weekday, between 10.30 a.m. and 12.30 a.m. on the following day, or

(ii) If it falls on a Sunday between 12.30 a.m. and 12.30 a.m. on the following day.

 

(f) Any other Sunday (except a St. Patrick’s Day which falls on a Sunday) between 12.30 p.m. and 11.00 p.m.)

 

(g) Any other Monday, Tuesday or Wednesday between 10.30 a.m. and 11.30 p.m.

 

(h) Any other Thursday, Friday or Saturday between 10.30 a.m. and 12.30 p.m. on the following day.

 

(i) The hours specified above are in addition to the period between midnight and 12.30 a,m. on that day where that period is included in the hours specified in respect of the eve of that day.

 

(j) At any time on Christmas Day or Good Friday

 

(3) NOTHING contained in the Registration of Clubs Act, 1904 to 1999, or contained, by virtue only of the operation of the foregoing, in the rules of a Club registered under those acts shall operate to prohibit the supplying for consumption on the Club premises of excisable liquor to any person or the consumption of excisable liquor on those premises by any person –

 

  1. On Christmas Day, between 12 midday and 10.00 p.m. or

 

  1. On any other day, for on hour after the expiration of any period in respect of that day during which it is lawful for the Club to supply any excisable liquor for consumption on the club premises,

 

If in each case the excisable liquor is –

 

(i) Ordered by or on behalf of that person at the same time as a substantial meal is so ordered, and

 

(ii) Consumed by that person during the meal or after the meal has ended.

 

(4)  (a) Excisable liquor shall not be sold or supplied to any person under eighteen years of age.

 

(b) No Manager or servant employed in the Club and no member of the Committee of governing body shall have any personal interest in the sale of excisable liquor therein, or in the profits arising from such sale.

 

(5)  (a) All members except Junior Members may introduce guests in their company to the Club subject to such restrictions and regulations that the Committee may make from time to time. The name of each guest shall be entered into the Visitor’s Book on entering the Club together with the details of his address or Club and entry shall be signed by the Member introducing the guest.

 

(b) A guest shall not be supplied with excisable liquor unless on the invitation and in the company of a member.

 

  1. A member shall not introduce the same guest more than six times in one calendar year and no guest shall be introduced to the Club more than twelve times in the said calendar year.

 

  1. The General Committee shall at all times have the power of cancelling or curtailing the admission of a guest without citing a reason.
